This Website is provided solely to assist members in gathering information about business community & economic environment in Vietnam, engaging in business activities, and searching for services & products, and for no other purposes. The terms “we”, “us”, “our” and “NSO” refer to National One-Stop Services & Investments Organization. The term “you” refers to the member visiting and using SMART BUSINESS DIRECTORY.
This Website is offered to you conditioned upon your acceptance without modification of any/all the terms, conditions, and notices set forth below (collectively, the “Agreement”). By accessing or using this Website in any manner, you agree to be bound by the Agreement and represent that you have read and understood its terms. Please read the Agreement carefully, as it contains information concerning your rights. If you do not accept all of these terms and conditions, please do not use this Website.
We may change or otherwise modify the Agreement in the future, and you understand and agree that your continued access or use of this Website after such change signifies your acceptance of the updated or modified Agreement. We will note the date that revisions were last made to the Agreement at the bottom of this page, and any revisions will take effect upon posting. We will notify our members of material changes to these terms and conditions by sending a notice to the email address provided to us on the Membership Agreement Application form. Be sure to return to this page periodically to review the most current version of the Agreement.

1. USE OF THE WEBSITE
As a condition of your use of this Website, you warrant that (i) all information supplied by you on this Website is true, accurate, current and complete, (ii) if you have a SMART BUSINESS DIRECTORY account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you. We retain the rights at our sole discretion to deny access to anyone to this Website and the services we offer, at any time and for any reason, including, but not limited to, for violation of this Agreement.
2. PROHIBITED ACTIVITIES
The content and information on this Website (including, but not limited to, messages, data, information, text, photos, graphics, video, maps, icons or other material), as well as the infrastructure used to provide such content and information, is proprietary to us. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Website. Additionally, you agree not to:
(i) use this Website or its contents for any commercial purpose without our consent
(ii) access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
(iii) deep-link to any portion of this Website for any purpose without our express written permission; or
(iv) "frame", "mirror" or otherwise incorporate any part of this Website into any other website without our prior written authorization.
(v) attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by NSO in connection with the Website or the services.
3. BUSINESS LISTINGS
NSO reserves the right, without liability, to reject, remove and/or cancel any information posted in SMART BUSINESS DIRECTORY that does not meet NSO requirements. NSO’s member agrees to the following:
a) NSO’s member hereby grants NSO and its affiliates the right to display Business information on SMART BUSINESS DIRECTORY, and any other NSO branded Web sites, partner web sites, sub sites and emails that are related to the NSO.
b) Member shall be solely responsible for the content provided to NSO for SMART BUSINESS DIRECTORY and any web site linked to from such information, and Member shall indemnify NSO for all loss, costs, and damages in connection with any claims of infringement of any third party rights and any claims arising from the content (including but not limited to unfair or deceptive acts and practices and consumer protection claims). Member represents, warrants and covenants to NSO that at all times, (i) it is fully authorized to publish the entire contents and subject matter of all requested information (including, without limitation, all text, URLs, and Internet sites to which URLs are linked); (ii) all such materials and Internet sites comply with all applicable laws and regulations and do not violate the rights (including, but not limited to, intellectual property rights) of any third party; (iii) it has the full corporate rights, power and authority to enter into this Membership Agreement and to perform the acts required of it hereunder, and its execution of this does not and will not violate any agreement to which it is a Party or by which it is otherwise bound, or any applicable law, rule or regulation;
c) It is Member's obligation to submit company profile in accordance with NSO’s criteria or specifications (including content limitations, technical specifications, terms of use,), and any other NSO policy (collectively "Policies").
d) Public Announcements. Member hereby grants NSO permission to publicize the fact that it is a SMART BUSINESS DIRECTORY member of NSO in a press release, marketing materials (including but not limited to email marketing, posters, flyers and brochures) as well as allow NSO to public Member’s logo on Member section of NSO main page. Member shall not use, display or modify NSO's trademarks in any manner without the prior written consent of NSO.
4. PRIVACY AND COMPLIANCE
From the date that the SMART BUSINESS DIRECTORY information begins to be displayed, through the expiration or termination of the Agreement, Customer shall have a privacy policy in place governing Customer's use of end users' personal information that meets or exceeds any applicable laws, rules and regulations governing the use of such information. Both parties shall ensure that any collection, use and disclosure of information obtained pursuant to the related agreement comply with all applicable laws, regulations and privacy policies.
5. EFFECTIVE DATE, CANCELLATION AND AUTO RENEWAL
1. Effective Date: Unless NSO notifies the Member otherwise, this Agreement is effective upon signing the Membership agreement application form.
2. Cancellation: A Member may cancel its SMART BUSINESS DIRECTORY subscription, thereby terminating this Agreement.
3. Auto-Renewal: SMART BUSINESS DIRECTORY membership application will be automatically renewed for successive one-year terms, unless Member notifies NSO by sending an email with the words 'CANCELLATION' in the subject line to NSO. Member shall deliver such notice at least thirty (30) days prior to the commencement of the next renewal term.
